1. Acceptance of Terms

By accessing or using the SentriKat website (sentrikat.com), the SentriKat customer portal, or purchasing any SentriKat product ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Services.

2. Description of Products

SentriKat is vulnerability management software focused on CISA Known Exploited Vulnerabilities (KEV) tracking. It is deployed 100% on-premises within the customer's own infrastructure. SentriKat is available in the following editions:

2.1 Demo Edition (Free)

The Demo Edition (DEMO) is provided free of charge with limited functionality, intended primarily for evaluation and testing purposes. It includes restricted user accounts, organizations, products, and agents as described on the pricing page. By downloading and installing the Demo Edition, you accept the End User License Agreement (EULA). The Demo Edition is provided "AS IS" without warranty, support, or service-level commitment. You deploy and operate it entirely at your own risk.

2.2 Pro Edition

The Pro Edition (PRO) is a paid license that unlocks all features including unlimited users and organizations, LDAP/AD/SAML SSO, multi-tenant with white-label branding, SIEM integration, compliance reporting, and priority support. License terms are governed by the End User License Agreement (EULA).

3. Purchases and Payment

3.1 Payment Processing

All payments are processed securely by Stripe, Inc. We do not store your payment card details on our servers. By making a purchase, you also agree to Stripe's Terms of Service.

3.2 Prices and Currency

Prices are listed in CHF (Swiss Francs) and/or EUR (Euros) and are displayed on the SentriKat website. Prices are subject to change at any time, but price changes will not affect licenses already purchased. The Licensor is currently exempt from Swiss VAT pursuant to Art. 10(2) of the Swiss Value Added Tax Act (MWSTG), as annual revenue is below CHF 100,000. Prices are therefore stated without VAT.

3.3 License Delivery

Licenses are delivered digitally. Upon successful payment confirmation, you will receive:

• A download link for the SentriKat software
• A unique license key for activation

License keys are delivered within 24 hours of payment confirmation, typically much sooner.

3.4 Refund Policy

We offer a 14-day right of withdrawal from the date of purchase for unused licenses. For EU-based consumers, this right is provided in accordance with EU Directive 2011/83/EU.

• Before license activation: Full refund available within 14 days of purchase. Contact [email protected] to request a refund.
• After license activation: No refund is available once the license key has been activated, as the digital content has been fully delivered and the right of withdrawal is waived upon activation.

We encourage you to evaluate the free Demo Edition before purchasing a paid license.

4. Account Responsibilities

If you create an account on the SentriKat customer portal, you are responsible for:

• Maintaining the confidentiality of your login credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for unauthorized purposes.

5. Intellectual Property

All content on the SentriKat website, including but not limited to text, graphics, logos, icons, images, software, and documentation, is the property of Denis Sota (operating as SentriKat) and is protected by applicable intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any content from sentrikat.com without prior written permission, except as expressly permitted by these Terms or the EULA.

6. Use of the Software

The use of SentriKat software (all editions) is governed by the End User License Agreement (EULA). By downloading, installing, or using SentriKat, you agree to the EULA in addition to these Terms.

In the event of a conflict between these Terms and the EULA, the EULA shall prevail with respect to the software license.

7. Disclaimer of Warranties

THE SERVICES AND SOFTWARE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• IN NO EVENT SHALL SENTRIKAT (DENIS SOTA) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
• OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF OUR SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE APPLICABLE LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.

This limitation applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Denis Sota (operating as SentriKat) from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your use of the Services, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

We may suspend or terminate your access to the website and customer portal at our discretion if you violate these Terms. Upon termination:

• Your right to access the customer portal ceases immediately
• Software license termination is governed separately by the EULA
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. For material changes, we will make reasonable efforts to notify affected customers by email. Your continued use of the Services after changes are posted constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Services.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the substantive laws of Switzerland, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG) and any conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Bellinzona, Canton of Ticino, Switzerland.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

14. Entire Agreement

These Terms, together with the Privacy Policy and the End User License Agreement, constitute the entire agreement between you and SentriKat regarding the use of our Services and supersede any prior agreements or understandings.
